1. Introduction

Welcome to NexaGen Media ("we," "our," or "us"). These Terms & Conditions govern your access to and use of our website, services, and creative assets (collectively, the "Services"). By engaging with our Services, you agree to be bound by these terms. If you do not agree, please do not use our Services.

2. Services Provided

NexaGen Media operates as a premium digital media studio offering:

• High-retention video editing and post-production
• Short-form content creation (TikTok, Reels, YouTube Shorts)
• Social media strategy and management
• Cinematic brand shoots and visual storytelling

Specific deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW) or service agreement tailored to each client.

3. Client Responsibilities

To ensure we can deliver the highest quality work, you agree to:

• Provide clear, timely feedback and approvals.
• Supply all necessary raw materials, logos, and brand assets required for the project.
• Ensure you have the legal right to use any materials you provide to us.

Delays in providing required assets or feedback may result in extended timelines for which NexaGen Media cannot be held liable.

4. Intellectual Property

Pre-existing Material: You retain all ownership rights to any materials you provide to us. We retain ownership of our pre-existing tools, templates, and methodologies.

Final Deliverables: Upon receipt of full payment, you are granted a worldwide, royalty-free license to use, reproduce, and distribute the final deliverables for their intended purpose. NexaGen Media reserves the right to showcase the final work in our portfolio, case studies, and marketing materials unless a Non-Disclosure Agreement (NDA) is explicitly signed before the commencement of work.

5. Payment Terms

All invoices must be paid according to the terms specified in the service agreement. Typically, this requires an upfront deposit before work commences, with the remaining balance due upon final delivery. Late payments may incur a penalty fee of 1.5% per month.

6. Revisions and Scope Changes

Our standard packages include a specified number of revision rounds. Requests that fall outside the original scope of work or exceed the included revisions will be billed at an hourly rate or quoted as a separate project. We will always seek your approval before incurring additional charges.

7. Limitation of Liability

To the maximum extent permitted by law, NexaGen Media shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of our Services. Our total liability for any claim arising from our services is limited to the amount paid by you for those specific services.

8. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, specifically within the jurisdiction of Nadia, West Bengal, without regard to its conflict of law provisions.
